We are a new NGO and have prepared a revised Voluntary Association constitution. The current draft already includes provisions covering Board nomination and appointment, conflicts of interest, information governance, fiduciary duties and King V governance principles. The earlier governance review also identified areas including Board accountability and independence, risk and financial oversight, governance processes and transparency that should be strengthened.
Worth noting:
- Our governance structure needs to support future funding proposals
- Our constitution needs to provide clear rules for how our Board operates and decisions are made
- The volunteer is providing advisory drafting support only, not formal legal advice or legal sign-off
