Legal terms governing the use of Plentii

1. Introduction & Purpose

Plenti Impact Ltd ("Plentii", "we", "us") operates a digital platform that matches skilled professionals with non‑profit organisations ("NPOs") for short, pro‑bono knowledge‑sharing projects. These Terms govern your participation and use of the Plentii platform.

2. Eligibility & Registration

  1. You must be at least 18 years old and legally able to enter into contracts.
  2. All information you provide in your profile must be accurate and kept up to date. You must notify Plentii promptly of any change that might affect your eligibility (e.g., loss of a professional licence).
  3. Plentii may suspend or terminate your account at any time if we have reason to believe you have breached these Terms.

3. Nature of the Relationship

  1. Volunteer capacity. You participate voluntarily, without remuneration, salary, or expectation of compensation. These Terms do not create an employment, agency, joint‑venture, or partnership relationship between you and Plentii or any NPO.
  2. Independent volunteer. You act independently and are solely responsible for how you deliver input, subject to the platform guidelines and any brief agreed with the NPO.

4. Conduct & Use of the Platform

  1. Professionalism. You agree to:
    • respond to briefs courteously and within agreed timeframes; and
    • provide honest, good‑faith input based on your knowledge and experience.
  2. Regulated activities. If your input constitutes legal, medical, tax, financial, or other regulated advice in South Africa, you must:
    • hold the relevant South‑African licence or professional designation; and
    • comply with your professional body's code of conduct. Otherwise, limit your input to general information and best practice.
  3. Prohibited content. You must not upload or transmit material that is unlawful, defamatory, discriminatory, or infringes any third‑party rights.

5. Confidentiality & Data Protection

  1. Confidential Information means any non‑public data or documents provided by an NPO or by Plentii marked "confidential" or that a reasonable person would understand to be confidential.
  2. You will:
    • keep Confidential Information secret;
    • use it only to prepare and deliver input on the relevant brief; and
    • delete or return it upon the earlier of project completion or request by Plentii or the NPO.
  3. Personal Information. If you access personal information protected by the Protection of Personal Information Act 4 of 2013 ("POPIA"), you will comply with POPIA and Plentii's Data‑Protection Guidelines.

6. Intellectual Property & Licence

  1. Ownership. You retain copyright in all materials you create ("Deliverables").
  2. Licence. You grant Plentii and the relevant NPO a worldwide, royalty‑free, perpetual licence to use, copy, adapt, and display the Deliverables for their internal operations and, with the NPO's consent, for outward‑facing impact stories.
  3. You warrant that your Deliverables do not infringe any third‑party IP rights.

7. No Professional Advice; Disclaimers

  1. Unless you are duly licensed (see Clause 4.2), Deliverables are provided "as‑is" for general informational purposes only and do not constitute professional advice. The NPO decides, at its own risk, whether and how to rely on any Deliverable.
  2. Plentii provides the platform and matching service on an "as available" basis without warranties of any kind.

8. Limitation of Liability

  1. To the maximum extent permitted by law, neither Plentii nor any NPO will be liable to you, and you will not be liable to Plentii or any NPO, for any indirect, incidental, consequential, special, or punitive damages arising under these Terms.
  2. Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.

9. Indemnity

You will indemnify Plentii and the NPO against losses arising from a third‑party claim that your Deliverables infringe IP rights or that your breach of these Terms caused damage, except to the extent such loss results from Plentii's or the NPO's own misconduct.

10. Term, Suspension & Termination

  1. These Terms apply from the moment you click "I accept" and continue until terminated.
  2. You may terminate at any time by deleting your account.
  3. Plentii may suspend or terminate your account immediately if you breach these Terms, including confidentiality or regulated‑advice restrictions.
  4. Clauses 5 to 9 survive termination.

11. Governing Law & Dispute Resolution

  1. These Terms are governed by the laws of the Republic of South Africa.
  2. Any dispute shall first be referred to mediation under the AFSA Mediation Rules. If unresolved within 60 days, the dispute shall be finally settled by arbitration in Johannesburg in accordance with the AFSA Expedited Arbitration Rules. Each party bears its own legal fees unless the arbitrator orders otherwise.

12. Changes to These Terms

Plentii may amend these Terms by posting a revised version on the platform and notifying registered Volunteers by email. Changes take effect 14 days after notification. Continued use of the platform after that date constitutes acceptance.
